Terms and Conditions

These terms govern access to and use of our SaaS platform, services, and associated features.

[Last Updated & Effective: 23rd January 2026]

These Terms and Conditions govern the access to and use of the software platform, website, applications, and services provided through the ERP solution designed for Educational Institution Management Systems (EIMS). By accessing, registering, subscribing to, or using the platform in any manner, users and institutions agree to be legally bound by these Terms and Conditions. If the user does not agree to any part of these terms, access to the services must be discontinued immediately.

The platform is provided strictly as a Software as a Service (SaaS) solution. Access is granted on a subscription or contractual basis and does not constitute the sale or transfer of ownership of the software, source code, or underlying intellectual property. Users are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the platform solely for internal institutional and educational purposes, subject to compliance with these Terms and Conditions.

To access certain features, users may be required to register an account and provide accurate, complete, and current information. Users are responsible for maintaining the confidentiality of login credentials and for all activities performed under their account. Any unauthorized use of accounts, credentials, or system access must be reported immediately. The platform shall not be held responsible for losses arising from failure to safeguard account credentials.

Subscriptions may be offered on monthly, quarterly, annual, or customized contractual plans. All payments made towards subscriptions, licenses, access fees, implementation, onboarding, customization, integration, data migration, training, or any related services are strictly non-refundable. As this is a SaaS-based service, no refund, prorated credit, or compensation shall be provided under any circumstances, irrespective of usage, dissatisfaction, early termination, or institutional decisions.

Users may choose to cancel subscriptions at any time; however, cancellation only prevents future renewals and does not entitle the user to any refund for the current or past subscription period. Access to the platform may continue until the end of the active billing cycle unless terminated earlier for violation of these terms.

The platform may periodically undergo maintenance, upgrades, feature enhancements, or technical modifications. Temporary service interruptions may occur during such activities. No refunds or service credits shall be provided for downtime caused by maintenance, upgrades, technical issues, force majeure events, or regulatory requirements, though reasonable efforts will be made to restore services promptly.

Users agree not to misuse the platform, including but not limited to attempting unauthorized access, introducing malicious software, copying or reverse-engineering the system, violating data privacy laws, or using the platform for unlawful, unethical, or non-authorized purposes. Violation of acceptable usage may result in immediate suspension or termination of access without notice or refund.

All content, software, trademarks, logos, designs, documentation, and intellectual property associated with the platform remain the exclusive property of the service provider or its licensors. Users shall not copy, modify, distribute, sublicense, or exploit any part of the platform without prior written consent.

User and institutional data will be handled in accordance with the applicable Privacy Policy. While reasonable security measures are implemented, users acknowledge that no digital system is entirely risk-free. The platform shall not be liable for data loss, breaches, or damages resulting from factors beyond reasonable control, including third-party infrastructure failures or cyber incidents.

To the maximum extent permitted by law, the platform shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or business opportunities arising out of or related to the use or inability to use the services. The total liability, if any, shall not exceed the subscription fees paid for the applicable service period.

These Terms and Conditions may be updated, modified, or revised at any time without prior notice. Continued use of the platform after such changes constitutes acceptance of the revised terms. Users are encouraged to review this page periodically to remain informed.

Any disputes arising out of or relating to these Terms and Conditions shall be subject to applicable laws of India and resolved through appropriate legal channels. Jurisdiction shall lie exclusively with the competent courts as applicable under Indian law.
